The Buyer and Seller acknowledge and agree that the Asset are being transferred on an “as is, where is” basis and the Buyer has accepted the Transfer on such basis.
The Seller makes no representation or warranty as to the quality, condition or prior use of the Asset or their fitness for any purpose and all representations, warranties or conditions whether express or implied, statutory or otherwise, are hereby expressly disclaimed and excluded to the extent permitted by law and the Buyer hereby acknowledges and accepts the Transfer on this basis. Any description of the Asset herein shall not constitute a warranty but is only for the purpose of identification.
